PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING OUR WEBSITES, KO-FI PAGE, OR DISCORD SERVER (COLLECTIVELY, THE "SERVICES"). BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

 

1. ACCEPTANCE OF TERMS

By accessing or using any of the Services operated by Midoricap ("Company," "we," "us," or "our") — including our websites at https://growththroughoptions.com and https://ko-fi.com/thetropics, our Discord server ("Bullsharkcharts"), and any related social channels — you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Midoricap is a U.S.-registered S-corporation operating as an entertainment and educational company. Nothing offered through the Services constitutes financial, investment, tax, or legal advice.

 

2. NOT INVESTMENT ADVICE

Midoricap and the Services do NOT provide individualized investment, financial, trading, tax, or legal advice. You acknowledge and agree that:

• All content shared through the Services, including but not limited to posts, messages, charts, analysis, videos, livestreams, and other materials (collectively, "Content"), is provided solely for ENTERTAINMENT, EDUCATIONAL, AND INFORMATIONAL PURPOSES ONLY and is general in nature.

• Nothing contained in the Services constitutes a solicitation, offer, or recommendation to buy or sell any securities, financial instruments, or other investment products, or an endorsement of any particular investment strategy.

• You should not treat any opinion, statement, chart, or information shared through the Services as a specific inducement to make any particular investment or trading decision.

 

3. EDUCATIONAL PURPOSE AND INDEPENDENT RESEARCH

The Services provide educational and entertainment content about trading strategies, technical analysis, and market dynamics. You acknowledge and agree that:

• You are solely responsible for your own trading and investment decisions. Any strategy, technique, or educational content discussed through the Services is provided for educational and entertainment purposes only and may not be suitable for your specific financial situation, risk tolerance, or investment objectives.

• All Content is impersonal and does not consider your specific financial needs, circumstances, or objectives.

• Midoricap makes no warranties, express or implied, regarding the accuracy, completeness, timeliness, or reliability of any Content shared through the Services.

• You must conduct your own independent due diligence and research before making any investment or trading decisions. You are strongly encouraged to consult with licensed financial advisors, tax professionals, legal counsel, and other qualified professionals as appropriate for your situation.

 

4. RISK OF LOSS DISCLOSURE

TRADING STOCKS, OPTIONS, FUTURES, AND OTHER SECURITIES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

You acknowledge and agree that:

• Past performance of any trading strategy, security, or portfolio is not indicative of future results. Historical data, charts, and performance data do not guarantee or predict future performance.

• YOU COULD LOSE SOME OR ALL OF YOUR INITIAL INVESTMENT. You should not invest or trade with money that you cannot afford to lose.

• The use of leverage, margin, options, futures, and other derivative products can magnify both gains and losses, and may result in losses that exceed your initial investment.

• There is no guarantee that any strategy, indicator, technique, or educational content discussed through the Services will result in profits, prevent losses, or achieve any particular investment outcome.

 

5. NO PROFESSIONAL RELATIONSHIP

Your use of the Services does not create any professional, fiduciary, advisory, brokerage, agency, employment, or client-service relationship between you and Midoricap, its owners, officers, directors, employees, contractors, agents, moderators, or affiliates (collectively, the "Company Parties").

No communication, Content, or interaction through the Services shall be deemed to create any such relationship unless and until a separate written agreement is executed by both parties expressly establishing such a relationship.

References to specific securities, companies, financial instruments, or investment strategies do not constitute personalized or tailored investment recommendations to you.

 

6. ACCOUNTS, ACCESS, AND PAID MEMBERSHIPS

6.1 Eligibility. You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services.

6.2 Account Security. You are responsible for maintaining the confidentiality of any account credentials used to access the Services and for all activity that occurs under your account. Notify us promptly at midorishark@gmail.com if you suspect unauthorized access.

6.3 Checkout and Payment Flow. Sign-up and checkout for paid memberships or products takes place on Ko-fi (https://ko-fi.com/thetropics). All payments are charged and processed by PayPal. Midoricap does not store your full payment card, bank, or PayPal account credentials. Your use of Ko-fi and PayPal is also subject to their respective terms and privacy policies.

6.4 All Sales Final — No Refunds. All purchases, subscriptions, memberships, tips, and other payments made through Ko-fi or otherwise in connection with the Services are FINAL AND NON-REFUNDABLE. By completing a purchase, you expressly acknowledge and agree that:

• You are not entitled to a refund, credit, or chargeback for any reason, including but not limited to dissatisfaction with Content, changes in market conditions, trading or investment losses, loss of access due to violation of these Terms, or your decision to stop using the Services.

• You waive any right to dispute, reverse, or initiate a chargeback for any payment made to Midoricap through PayPal, Ko-fi, or any other processor. Initiating a chargeback in violation of these Terms is itself a material breach and may result in immediate termination of access and collection activity.

• For recurring subscriptions, you remain responsible for canceling before the next billing cycle to avoid further charges. Partial-period refunds are not provided.

6.5 Termination. We may suspend or terminate your access to any portion of the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. Termination does not entitle you to a refund.

 

7. LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

7.1 Exclusion of Damages

Midoricap and the Company Parties shall NOT be liable to you or any third party for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever, including but not limited to:

• Loss of profits, revenue, or trading losses of any kind;

• Loss of data, information, or use of the Services;

• Business interruption or loss of business opportunities;

• Any other pecuniary or non-pecuniary loss or damage;

arising out of or in connection with your use of (or inability to use) the Services, any Content, or any actions you take or fail to take based on Content or interactions through the Services, even if Midoricap or any Company Party has been advised of the possibility of such damages.

7.2 Total Liability Cap

In no event shall Midoricap's or any Company Party's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of (a) the total amount you have paid to Midoricap during the twelve (12) months immediately preceding the claim, or (b) one hundred U.S. dollars (US$100.00).

7.3 Disclaimer of Warranties

ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement;

• Warranties that the Services or Content will be uninterrupted, error-free, secure, or free from viruses or other harmful components;

• Warranties regarding the accuracy, reliability, completeness, or timeliness of any Content or information.

7.4 Service Availability

Midoricap makes no guarantee that the Services will be available at all times, will operate without interruption or errors, or will be secure from unauthorized access. We reserve the right to modify, suspend, discontinue, or restrict access to the Services (in whole or in part) at any time, with or without prior notice, for any reason or no reason.

 

8. INTELLECTUAL PROPERTY RIGHTS

All Content, materials, information, data, software, designs, graphics, logos, trademarks (including "Midoricap," "Bullsharkcharts," and "Growth Through Options"), and other intellectual property shared by Midoricap, its moderators, employees, or authorized representatives through the Services ("Company Content") is and shall remain the exclusive intellectual property of Midoricap and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Company Content solely for your personal, non-commercial, educational purposes.

You agree that you will NOT, without the express prior written permission of Midoricap:

• Reproduce, copy, duplicate, download (except for temporary caching), or create derivative works from any Company Content;

• Distribute, publish, transmit, share, or disseminate any Company Content outside of the Services or to any third parties;

• Use any Company Content to train machine-learning or artificial-intelligence models;

• Use any Company Content for commercial purposes or monetary gain;

• Share subscription-based or exclusive Content (including charts, trade ideas, and Discord channel contents) with individuals who are not authorized paying members;

• Resell, sublicense, or transfer your access to the Services or any Company Content to others.

 

9. USER CONDUCT

You agree not to use the Services to:

• Post harassment, hate speech, threats, or content that is unlawful, defamatory, obscene, or infringing;

• Impersonate Midoricap, Bullsharkcharts, moderators, or any other person;

• Solicit other users, promote competing services, or send spam;

• Share account access, bypass paywalls, or distribute paid Content to non-members;

• Interfere with, disrupt, or compromise the security of the Services;

• Engage in market manipulation, pump-and-dump schemes, or any unlawful financial activity using information from the Services.

Violation of this Section may result in immediate, permanent removal without refund.

 

10. USER RESPONSIBILITIES AND INDEMNIFICATION

10.1 Indemnification

You agree to indemnify, defend, and hold harmless Midoricap and all Company Parties from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, settlements, judgments, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

• Your access to, use of, or reliance upon the Services, any Content, or any information obtained from the Services;

• Your trading, investment, or financial decisions and activities;

• Your violation of these Terms or any applicable laws, rules, or regulations;

• Your infringement or violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.

10.2 Acknowledgments

You further acknowledge and agree that:

• All trading and investment decisions are made independently by you, based on your own judgment, research, and risk assessment, and are made entirely at your own risk;

• You will not hold Midoricap or any Company Party responsible, liable, or accountable for any trading losses, investment losses, or other financial damages you may incur.

 

11. GOVERNING LAW, ARBITRATION, AND CLASS-ACTION WAIVER

11.1 Governing Law. These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.

11.2 Informal Resolution. Before filing any formal proceeding, you agree to first contact us at midorishark@gmail.com with a written description of the dispute and to attempt in good faith to resolve the matter informally for at least thirty (30) days.

11.3 Binding Arbitration. If informal resolution fails, you and Midoricap agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a "Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration shall be conducted in Los Angeles County, California, or, at your election, by telephone or online. The arbitrator shall have exclusive authority to resolve all threshold issues, including arbitrability.

11.4 Class-Action Waiver. YOU AND MIDORICAP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If this class-action waiver is found unenforceable, then the entirety of Section 11.3 (Binding Arbitration) shall be null and void with respect to the Dispute in question.

11.5 Exceptions. Notwithstanding the foregoing, either party may (a) bring an individual action in small-claims court for qualifying disputes, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

11.6 Opt-Out. You may opt out of the arbitration and class-action waiver provisions in Sections 11.3 and 11.4 by sending written notice to midorishark@gmail.com within thirty (30) days of first accepting these Terms, stating your name and your intent to opt out. Opting out will not affect any other provision of these Terms.

11.7 Court Venue for Non-Arbitrable Matters. For any Dispute not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to jurisdiction or venue in such courts.

 

12. MISCELLANEOUS PROVISIONS

12.1 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions of these Terms shall remain in full force and effect.

12.2 Entire Agreement. These Terms, together with our Privacy Policy and any other policies or guidelines incorporated by reference herein, constitute the entire agreement between you and Midoricap regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Services.

12.3 Modifications to Terms. Midoricap reserves the right to modify, amend, update, or replace these Terms at any time, in its sole discretion. We will make reasonable efforts to notify you of material changes by posting the updated Terms on our websites or through other appropriate means. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.

12.4 Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by Midoricap to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment. You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without the prior written consent of Midoricap. Midoricap may freely assign or transfer these Terms without restriction.

12.6 Force Majeure. Midoricap shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, internet outages, exchange outages, or third-party service provider failures (including Discord, Ko-fi, or PayPal).

12.7 Third-Party Platforms. The Services rely on third-party platforms (including Discord, Ko-fi, and PayPal). Your use of those platforms is subject to their own terms and privacy policies, and Midoricap is not responsible for their actions, outages, data handling, or policies.

ACKNOWLEDGMENT AND ACCEPTANCE

BY CONTINUING TO ACCESS OR USE ANY OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY — INCLUDING THE NO-REFUND POLICY IN SECTION 6.4 AND THE BINDING ARBITRATION AND CLASS-ACTION WAIVER IN SECTION 11.
